Constitution
  1. The name of the Society is the Michael Smith Foundation For Health Research.
  2. In recognition of the contribution that Dr. Michael Smith made to health research and to British Columbia, and in particular to genetics research and to encouraging more people, especially women, to enter the sciences, the purposes of the Society are:

    1. to facilitate and support the development of health research in British Columbia across all sectors, including basic research, clinical research, health services research, and population and community health research and to encourage the application of research results for the benefit of British Columbians and in particular:

      1. to develop and fund programs in British Columbia to:

        1. develop, attract and retain outstanding health scientists and researchers;
        2. foster networks of researchers to focus efforts on strategic health priorities; and
        3. identify and support new research opportunities and infrastructure that contribute to health innovation and change.
      2. to coordinate strategic leadership for British Columbia in the identification and advancement of health research priorities by:

        1. fostering partnerships, research opportunities and activities that are in keeping with the Society's purposes; and
        2. developing and reporting on performance indicators on the status of health research in British Columbia.
      3. to solicit and receive bequests, trusts, funds and property, and to hold, invest, administer and distribute funds and property for the purposes of the Society as presently set out and in advancement of the Society's purposes, to distribute funds and property to other organizations as are "qualified donees" under the provisions of the Income Tax Act (Canada); and
      4. to do all such other things as are incidental, ancillary or conducive to the attainment of the purposes and the exercise of the powers of the Society.
    2. The Society has perpetual succession and has power to acquire by purchase, gift, devise, bequest, trust agreement, contract or otherwise, real and personal property within and without British Columbia, and may hold, sell, dispose of, exchange, mortgage, lease, let, improve and develop any such property and without restricting the generality of the foregoing may acquire in any way or ways real and personal property for the purpose of funding the purposes of the Society and deal with any and all such property as empowered by this clause. This clause is unalterable.
    3. The activities of the Society shall be carried on without purpose of gain for its members and any income, profits or other accretions to the Society shall be used in promoting the purposes of the Society. This provision shall not prevent the payment of reasonable remuneration to any employee or contractor of the Society in return for services actually rendered to the Society. This clause is unalterable.
    4. Upon winding-up or dissolution of the Society, the assets remaining after the payment of all costs, charges and expenses properly incurred in the winding-up, including the remuneration of a liquidator, and after payment to employees of the Society of any arrears of salaries, or wages, and after payment of any debts of the Society, shall be distributed to such charity or charities registered under the provisions of the Income Tax Act (Canada), as shall be designated by the Board of Directors. Any of such assets remaining which had originally been provided for specific purposes shall, wherever possible, be distributed to a charity or charities registered under the provisions of the Income Tax Act (Canada) carrying on work of a similar nature to such specific purposes. This clause is unalterable.
